In its filing, Coinbase argues that the SEC's definition of a security is too broad and that it does not apply to the cryptocurrencies that Coinbase lists. Coinbase also argues that the SEC is violating the "Major Questions Doctrine," which requires Congress to provide clear guidance on complex issues before the SEC can regulate them. The SEC filed its lawsuit against Coinbase in June 2023, alleging that the exchange violated US securities laws by listing certain cryptocurrencies without registering them with the SEC. The SEC has argued that the cryptocurrencies that Coinbase listed are investment contracts and therefore securities.
